(hereinafter referred to as the "Group") intends to select external lawyers for law firms in the province. After the establishment of the external lawyer bank, the group and related affiliated enterprises shall employ perennial legal advisers or agents for major and difficult cases, and shall select lawyers from the lawyer bank to provide legal services (except for those whose litigation and arbitration places are in other provinces, but the agents shall meet the requirements of Article 3 and (VI) of this announcement). Interested law firms are welcome to participate in the selection.

Jiangxi Provincial Construction Group Co., Ltd. is a provincial key state-owned enterprise with a history of 60 years. Jiangxi Province is a large state-owned construction enterprises, its predecessor was founded in 1952 in Jiangxi Province Construction Engineering Bureau. It has a number of qualifications, such as the first-class general contracting of housing construction projects, the first-class general contracting of municipal public works, and the first-class general contracting of highway engineering construction, as well as the right to operate foreign contracted projects and labor cooperation. it has passed the certification of the quality, environment, occupational health and safety management system, leading enterprises in the construction industry in Jiangxi Province, top 500 in the country, top 50 in the construction industry and top 10 in Jiangxi Province. The group company has entered the "Top 500 Chinese Enterprises" for 6 consecutive years ".
Overview of 2. Selection and Employment
The Group will select and establish a pool of external lawyers. When there is a demand for perennial and special legal services, perennial or special lawyers will be selected from the pool of external lawyers according to the actual situation. This selection only selects the qualifications of law firms, and the validity period is 1 year, and will be adjusted and updated regularly according to the service quality of the selected law firms. The selection party does not guarantee that the law firm included in the lawyer pool will be able to obtain the entrusted legal service project.
Qualification requirements for 3. candidates
The participating law firm shall meet the following conditions at the same time:
The (I) is established in accordance with the law and has obtained relevant qualifications in Nanchang area, and has been in normal business for more than 1 year (including 1 year).
(II) not less than 15 (including 15) full-time practicing lawyers, and there are 10 (including)
A practicing lawyer with more than 5 years (inclusive) of practice experience;
(III) have the practice experience of serving large and medium-sized enterprises, have a strong team of lawyers or corresponding professional qualifications in relevant professional fields; be familiar with contract law, company law, state-owned assets supervision, construction law laws and regulations, and be familiar with the relevant legal risk management of state-owned enterprises System and process; have a fixed office space.
The (IV) has no conflict of interest with the Group and its affiliated enterprises, and has no bad behavior or bad record in the past cooperation with the Group and its affiliated enterprises.
(V) one of the following conditions is preferred:
1. Law firms and selected practicing lawyers have provided legal services to provincial state-owned enterprises;
2. Law firms and registered practicing lawyers are the perennial legal advisers of the provincial SASAC;
3. Law firms that have had a good relationship with the Group in the past.

The practicing lawyers selected by the (VI) shall meet the following conditions:
1. Continuous practice for more than five years, especially excellent can be relaxed to more than three years, the annual inspection qualified;
2. No major business disputes and no bad practice records in the past year;

4. Have rich experience in legal affairs within the business scope of the group enterprise;

The main forms of legal services provided by external law firms are as permanent legal counsel and the provision of special legal services. The inclusion of the external lawyer pool is only intentional selection and does not form a binding legal relationship. The specific rights and obligations are subject to the formal legal service contract. The main tasks of serving as a permanent legal consultant include but are not limited to: providing legal advice, assisting in drafting and reviewing contracts, articles of association and other important legal documents, issuing legal opinions, legal analysis and demonstration, and expressing legal compliance and legal risk prevention of major projects Opinions, assist in the development of legal publicity and education on the rule of law, and assist in the development of non-litigation legal services such as legal risk prevention. The main work of providing special legal services includes: litigation, arbitration and other lawyer agency services, difficult case discussion and argumentation, legal due diligence, investment mergers and acquisitions, asset restructuring, restructuring and other litigation or non-litigation legal services.

Focus on the relevant practice experience, the lawyer members of the education, degree certificate, lawyer license copy.
(V) competition documents shall be printed in five copies in file format. The Group will not return the competition documents of each competing party, and the selecting party will properly keep and handle the competition documents of the competing parties.

6. Selection Method
The Group will set up a jury to conduct qualification examination according to the election documents and requirements. For law firms that meet the election criteria, the Group will invite them to participate in the selection. The selection will be scored through the competition materials of law firms in combination with the industry reputation of the applicants and the lawyers to be undertaken. After the selection, the selected law firms will notify the selected law firms in the form of an announcement or a notice of selection.
7. Submission of Candidacy Documents
The deadline for submission of (I) documents is July 16, 2020.
